User Agreement & Privacy Policy

Effective Date: February 6, 2026

Parties and Agreement

This User Agreement (“Agreement”) is a legally binding agreement between Paparazzi Games, Inc., doing business as BitcyClub (“BitcyClub,” “we,” “us,” “our”) and the individual who registers for, downloads, or uses the BitcyClub mobile application or related services (the “User,” “you,” “your”).

By creating an account or using the Services, you confirm that you are at least 18 years old and that you have read, understood, and agree to be bound by this Agreement and the Privacy Policy below.

If you do not agree, you must not use the Services.

Changes to This Agreement

BitcyClub may modify this Agreement at any time. Changes become effective when posted in the app or otherwise made available to you and apply prospectively.

Your continued use of the Services constitutes acceptance of the updated Agreement.

The Services (Educational Platform)

BitcyClub is a skill-based, educational prediction platform that simulates Bitcoin price movement using live market data streams.

BitcyClub:
• Is not a trading platform
• Is not a brokerage, exchange, or wallet
• Does not execute cryptocurrency transactions
• Does not allow withdrawals of any kind
• Does not provide investment, financial, tax, or legal advice

All gameplay is educational and competitive only.

Eligibility and Accounts

• Users must be 18 years or older
• One account per person
• Accurate registration information is required
• Users are responsible for account security

BitcyClub may suspend, limit, or terminate accounts at its sole discretion for violations, abuse, fraud, or risk to the platform.

Social Features and Communication

BitcyClub does not provide messaging, chat, calls, transfers, requests, or withdrawals.

Users may add other users as friends, but:
• No communication is possible
• No messages, images, voice, or files can be exchanged
• No personal contact information is shared

This design exists to protect user privacy and platform integrity.

Educational Tokens (BITCY)

BITCY tokens are internal educational units used solely to:
• Participate in prediction rounds
• Calculate leaderboard rankings

BITCY tokens:
• Have no monetary value
• Are not currency, cryptocurrency, or securities
• Cannot be redeemed, withdrawn, transferred, sold, or exchanged
• Exist only within the BitcyClub app

Token Access and Balance Policy

• New users do not receive guaranteed starting tokens
• Tokens may be obtained by:
– Purchasing via in-app payment methods
– Waiting up to 24 hours for a discretionary refill

Token refills:
• Are not guaranteed
• May be changed, delayed, reduced, or discontinued at any time
• Are subject to policy changes without notice

BitcyClub does not guarantee continuous token availability.

Deposits, Fees, and In-App Purchases

Users may purchase educational token packages or pay challenge entry fees using:
• Apple App Store In-App Purchases
• Google Play In-App Purchases
• Apple Pay
• Credit or Debit Cards

All payments:
• Are final and non-refundable
• Do not represent stored value
• Do not create any withdrawal rights
• Are used solely for educational gameplay and challenge participation

Challenges, Competitions, and Leaderboards

BitcyClub may host Challenges and competitions.

Each Challenge:
• Has its own independent leaderboard
• May be free or require an entry fee
• Has a defined minimum number of participants to activate
• Starts automatically once conditions are met

If a user pays an entry fee but fails to participate:
• The fee is forfeited
• No refunds are issued under any circumstances

Leaderboard placement alone does not guarantee a reward.

Physical Rewards

Physical rewards:
• Are not sold
• Are not redeemable with tokens
• Are awarded only based on leaderboard rankings
• Are subject to eligibility and verification

BitcyClub may substitute a reward of equal or greater value if necessary.

Taxes, documentation, travel, and collection requirements are the responsibility of the winner unless stated otherwise.

Prohibited Activities

Users may not:
• Use bots, scripts, or automation
• Create multiple or fake accounts
• Manipulate leaderboards or gameplay
• Abuse payment systems or initiate chargebacks
• Reverse engineer or exploit the Services
• Misrepresent identity or eligibility

Violations may result in permanent termination without refund.

Privacy Policy Summary

BitcyClub collects limited information necessary to:
• Operate accounts
• Administer challenges
• Prevent fraud and abuse
• Comply with legal obligations

BitcyClub does not sell user data.

No messaging or communication data is collected, as messaging is not available.

Payment Processing & Billing Information

BitcyClub does not process, store, save, copy, or retain credit card numbers, debit card numbers, bank account details, or billing credentials.

All payments are processed exclusively by independent third-party payment processors, including but not limited to:
• Apple Inc.
• Google LLC
• Stripe, Inc. or other U.S.-based licensed processors

BitcyClub only receives transaction status confirmations necessary to operate the Services.

Payment disputes must be handled according to the policies of the applicable payment processor.

Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.”

BitcyClub makes no warranties regarding availability, accuracy, or outcomes.

Limitation of Liability

To the maximum extent permitted by law:
• BitcyClub is not liable for indirect or consequential damages
• Total liability shall not exceed the greater of:
– Amounts paid in the prior 12 months
– USD $100

Indemnification

You agree to indemnify and hold harmless BitcyClub and its officers, employees, and affiliates from claims arising from your use of the Services or violation of this Agreement.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law rules.

Disputes shall be resolved by binding individual arbitration, except where prohibited by law.

Entire Agreement

This Agreement constitutes the entire agreement between you and BitcyClub regarding the Services and supersedes all prior agreements.

If any provision is held unenforceable, the remainder remains in effect.

The English language version controls.
