User Agreement and Privacy Summary

Effective Date: November 3, 2025

1. Parties and Agreement

This User Agreement (“Agreement”) is between Paparazzi Games, Inc. dba BitcyClub Trivia App (“BitcyClub,” “we,” “us,” “our”) and the individual who creates an account or uses the BitcyClub mobile application or related services (the “User,” “you,” “your”). By creating an account, downloading, or using the app or services (collectively, the “Services”), you acknowledge that you have read and agree to this Agreement, including the Privacy Summary (Section 13), the E-Sign Disclosure and Consent (Appendix 2, if applicable), and any incorporated policies.

1. Changes to This Agreement

We may modify this Agreement. Changes become effective when posted in the app or otherwise provided to you and apply prospectively. Your continued use of the Services constitutes acceptance. If you do not agree, you must stop using the Services and close your account.

1. The Service (What BitcyClub Is)

BitcyClub is an educational, skill-based, Bitcoin-only prediction platform. The app streams live Bitcoin price from real exchanges. Users practice decision-making by predicting, at defined intervals (e.g., every 20 seconds), whether the price will move up or down. BitcyClub does not provide trading, custodial services, brokerage, investment advice, or cryptocurrency transactions of any kind.

1. Eligibility and Accounts

You must be 18+ to use the Services. Creating an account requires truthful information and completion of any verification steps. You are responsible for all activity under your account and for keeping your credentials secure. We may open, refuse, suspend, or terminate accounts at our sole discretion consistent with this Agreement.

1. Educational Tokens (BITCY) and Gameplay Access

BITCY Tokens are educational, in-app digital tokens used solely to enter prediction rounds and compete on leaderboards.

They have no monetary value, are not legal tender, not cryptocurrency, not securities, and cannot be redeemed for money, cryptocurrency, physical items, or any asset outside the app.

Tokens are not transferable between users and may not be sold, bartered, gifted, or exchanged.

Starting balance: New users receive an in-app educational balance (e.g., 200,000 BITCY) for gameplay. If the balance reaches zero, it refills after a waiting period. Users who do not wish to wait may purchase additional tokens via Apple/Google in-app purchases.

Free learning period: All users may play 99 free test games before any reward-related activation is required.

1. In-App Purchases (Deposit / Replenish)

When tapping Add / Replenish, Users may purchase BITCY token packages through the App Store / Google Play using their native payment flows.
Example packages (displayed in-app and subject to change):

$1.99 → 1,000 BITCY

$7.99 → 5,000 BITCY

$14.99 → 10,000 BITCY

$35.99 → 25,000 BITCY

$74.99 → 50,000 BITCY

All in-app purchases are final and non-refundable except where required by law or the platform’s own refund policies.

1. Reward Wallet Activation and Eligibility for Physical Rewards

After 99 test games, Users who wish to remain eligible for physical rewards via leaderboards must activate the Reward Wallet by paying a $9.99 yearly subscription (12 months).

The subscription can be cancelled at any time via in-app support or email; no refunds are provided once activated (unless required by law).

Gameplay remains available without activation; however, physical reward eligibility requires an active Reward Wallet after the initial 99 free games.

1. Competitions, Challenge Rooms, and Weekly Tournaments

Only two pathways can unlock physical rewards:
(a) Challenge Rooms hosted by BitcyClub or approved sponsors, or
(b) Weekly Tournaments operated by BitcyClub.

Each competition has posted rules, entry requirements (including any entry fee), countdown timer, and leaderboard. Rewards are guaranteed by the sponsor/BitcyClub before opening the room.

Rewards may range from hats and sneakers to electronics, jewelry, or vehicles, depending on the sponsor and room size.

No token redemption for rewards. Physical rewards are earned by leaderboard rank only (e.g., 1st, 2nd, 3rd place, or as otherwise defined by the posted rules).

BitcyClub may verify eligibility, identity, and compliance before delivering any reward and may substitute a reward of equal or greater value where necessary. Taxes, documentation, and delivery requirements may apply and are the winner’s responsibility unless stated otherwise in the room rules.

1. Prohibited Activities

You agree not to:

use the Services for any unlawful purpose;

attempt to manipulate leaderboards, prices, or outcomes;

create multiple or fake accounts;

transfer, sell, or exchange BITCY or accounts;

scrape, reverse engineer, or misuse the app, content, or APIs;

upload malware or interfere with operations;

engage in abuse, harassment, hate speech, or misleading conduct.

1. Social and In-App Messenger

BitcyClub includes a social layer that enables Users to add friends, chat in-app, share images/screens, and auto-translate messages for the reader.

Messages are not end-to-end encrypted and should not be considered private. We do not actively monitor all messages but may review flagged content to enforce this Agreement and protect safety.

Do not share personal, sensitive, or confidential information. BitcyClub is not responsible for consequences arising from user-to-user communications.

Violations of behavioral guidelines (abuse, threats, harassment, hate, explicit content, scams) may result in content removal, suspension, or termination.

1. Enforcement; Suspension and Termination

We may suspend, limit, or terminate access for violations of this Agreement, risk to Users or the platform, suspected fraud or manipulation, legal compliance, prolonged inactivity, or technical/security issues. If terminated for cause, balances may be frozen and access to Services revoked. We may also remove usernames that are deceptive, infringing, or inconsistent with community standards.

1. Intellectual Property

All content, software, designs, data, trademarks, and other IP in the Services belong to BitcyClub or its licensors and are protected by law. You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any part of the Services except as expressly permitted by this Agreement.

1. Privacy Summary

We collect and process information to operate, secure, and improve the Services; to provide support; to prevent fraud and abuse; and to comply with law. We may share data with service providers and lawful authorities where required. Some features (e.g., messenger) are not private. For full details on categories, purposes, retention, rights (including GDPR/CCPA where applicable), and contact methods, see the in-app Privacy Policy. By using the Services, you consent to these practices.

1. Platform and Availability

Service availability may be affected by traffic, volatility, maintenance, or outages. We strive for reliability but do not guarantee uninterrupted or error-free operation. We are not liable for losses due to delays in processing predictions, inability to access the app, or support response times.

1. No Investment, Tax, or Legal Advice

The Services are educational and competitive, not advisory. We do not provide investment, tax, or legal advice and are not a broker, exchange, wallet provider, or custodian. Decisions you make outside the app are your sole responsibility.

1. Telephone, SMS, and Electronic Communications

By providing contact information, you consent to receive communications related to your account and Services, including automated texts or calls where permitted. You may opt-out of marketing texts by replying STOP (or as otherwise instructed). Message/data rates may apply. Calls/texts may be recorded as permitted by law. See the detailed Telephone Communications Terms section in the app for your rights and opt-out options.

1. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. You assume all risk for your use of the Services.

1. Limitation of Liability

To the maximum extent permitted by law, BitcyClub is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability for all claims will not exceed the greater of the amounts you paid to us for the Services in the 12 months preceding the claim or USD $100.

1. Indemnification

You agree to indemnify and hold harmless BitcyClub and its affiliates, officers, employees, and agents from claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of this Agreement or law.

1. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, outages, or network failures.

1. Governing Law; Dispute Resolution; Arbitration; Class Waiver

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law rules. Except for small-claims matters, any dispute arising out of or relating to the Services or this Agreement shall be resolved by final and binding arbitration on an individual basis under the AAA Consumer Arbitration Rules, with venue as provided by such rules and remote appearances where appropriate. Class actions and jury trials are waived to the extent permitted by law. You may opt-out of arbitration within 30 days of accepting this Agreement by emailing PaparazziGames@Bitcy.Club
with your name, phone number, and address stating that you decline arbitration.

1. Apple / Google Notice

Apple, the Apple logo, iPhone, and App Store are trademarks of Apple Inc. Google Play and Android are trademarks of Google LLC. BitcyClub is not owned by, affiliated with, or sponsored by Apple Inc. or Google LLC. Apple and Google are not responsible for activities within the application.

1. Miscellaneous

If any provision is held unenforceable, the remainder remains in effect. Headings are for convenience only. Failure to enforce is not a waiver. English is the controlling language. This Agreement constitutes the entire agreement between you and us regarding the Services.

Appendix A — Rewards, Tournaments, Challenge Rooms, and Token Policy (Detailed)

A1. Physical Rewards Eligibility
Physical rewards are exclusively available through:

Challenge Rooms sponsored by BitcyClub or approved partners; and

Weekly Tournaments operated by BitcyClub.
Only Users who place in the winning positions identified in posted rules (e.g., 1st, 2nd, 3rd) are eligible to receive a physical reward. Rewards are not for sale and cannot be redeemed with tokens.

A2. Reward Wallet Activation
After 99 test games, Users must activate the Reward Wallet for $9.99 per year to remain eligible for physical rewards and continued leaderboard eligibility related to rewards. The subscription runs for 12 months and can be cancelled at any time via in-app support or email; no refunds are provided once activated unless required by law.

A3. Challenge Rooms
Each room posts rules, entry cost (if any), countdown, leaderboard, available rewards, and winner criteria. Rewards can range from hats and apparel to electronics and vehicles depending on the sponsor and room size. Entry fees may be used to fund rewards and logistics. No token redemption for rewards.

A4. Weekly Tournaments
Weekly Tournaments follow the same leaderboard logic and reward eligibility as Challenge Rooms, as posted in each tournament’s rules.

A5. Token Usage
BITCY tokens are educational and only for in-app gameplay. They cannot be redeemed for rewards, money, cryptocurrency, or real-world value; no withdrawals of any kind are permitted.

Appendix B — Social / Messenger Rules

B1. Purpose and Visibility
The in-app messenger is for gameplay discussion, learning, and community support. Messages are not end-to-end encrypted and shouldn’t be considered private. We may review flagged content to protect users and enforce this Agreement.

B2. Prohibited Conduct
Harassment, threats, hate speech, explicit content, impersonation, spam, scams, or attempts to move users to external payment schemes are prohibited.

B3. Enforcement
Violations may result in content removal, feature limits, suspension, or termination. In severe or repeated cases, accounts may be blocked with balances frozen.

Appendix C — Availability and Support

High network load or market volatility may degrade performance. Features and availability can change. Support is provided via in-app channels or support@bitcy.club

Appendix D — In-App Purchase Disclosure

Prices, packages, and availability may vary by region and platform. Purchases are processed by Apple or Google under their terms. Items are non-returnable and non-transferable except where required by law.

Appendix E — E-Sign Disclosure and Consent (Summary)

By using electronic records and signatures in the app, you consent to receive notices and transact electronically. You may withdraw consent or request paper copies per the full E-Sign policy (Appendix 2 in-app).

Note: This consolidated Agreement replaces conflicting legacy language (including prior references to trivia-only contests, token transfers between users, token redemption for rewards, messenger-based monetary withdrawals, or crypto trading features). The current app is Bitcoin-only, educational, with Challenge Rooms and Weekly Tournaments as the exclusive routes to physical rewards, and Reward Wallet activation required after 99 test games for reward eligibility.
